Limited Liability Companies (LLCs)

LLCs offer unmatched flexibility in management and operations. There are minimal formalities — no mandatory board meetings, no complex bylaws. Owners (called members) can run the company themselves or appoint a manager, making it ideal for solo entrepreneurs and small international teams.
An LLC can be owned by one or more members — including foreign nationals and non-residents. There is no restriction on the number of members, and ownership can be structured flexibly via an Operating Agreement without government filing.
By default, a single-member LLC is taxed as a disregarded entity (pass-through), and a multi-member LLC as a partnership. This avoids double taxation. Non-US resident owners of a US LLC with no US-source income may have zero US tax liability.
The LLC structure separates personal assets from business liabilities. As a member, you are generally not personally responsible for business debts or lawsuits — giving you a strong legal shield while operating in the US market.
LLCs have fewer compliance obligations than corporations. Most states require an annual report and a small fee. Delaware and Wyoming are especially popular for their low fees, minimal reporting, and strong privacy protections for owners.
LLCs can raise capital through member contributions and loans. While they cannot issue stock, they offer flexible profit-sharing arrangements. For most e-commerce and service businesses, an LLC provides all the financing flexibility needed at the early stage.
LLCs are ideal for international entrepreneurs entering the US market, e-commerce sellers on Amazon, Shopify or Walmart, freelancers and consultants, and small to medium businesses that want simplicity, tax efficiency, and liability protection.
An S-Corporation is a special tax election made with the IRS, not a separate business entity type. An LLC or C-Corp can elect S-Corp status. It allows profits and losses to pass through directly to shareholders' personal tax returns, avoiding double taxation.
S-Corps are limited to 100 shareholders, all of whom must be US citizens or permanent residents. This makes S-Corp status unavailable to most international entrepreneurs — a key reason why LLCs or C-Corps are preferred for non-US residents.
Owner-employees can pay themselves a reasonable salary and take remaining profits as distributions, reducing self-employment taxes. This can lead to significant savings for profitable US-based businesses with active owners.
S-Corps require annual meetings, maintaining minutes, and formal resolutions. Payroll must be set up and reasonable compensation paid to shareholder-employees, adding administrative overhead compared to a standard LLC.
S-Corps work best for profitable US-based small businesses whose owners are US citizens or residents, and who want to minimize self-employment taxes while maintaining pass-through taxation. Not recommended for non-US residents.
A C-Corporation is a standard corporation taxed separately from its owners. It is the default corporate structure in the US and the preferred entity for venture-backed startups, businesses planning to raise institutional capital, or companies aiming for an IPO.
C-Corps can have unlimited shareholders of any nationality, including foreign nationals and institutional investors. This makes it the go-to structure for startups seeking venture capital or global equity investment.
C-Corps are subject to a flat 21% federal corporate tax rate. Dividends paid to shareholders are taxed again on personal returns — known as double taxation. However, this is often offset by retained earnings strategies and deductible business expenses.
Like all corporations, a C-Corp provides strong personal liability protection. It also carries significant credibility with US banks, enterprise clients, and investors — which can be critical for closing large contracts or raising funding.
C-Corps are ideal for high-growth startups seeking venture capital, businesses planning to list publicly, or companies that need to issue multiple classes of stock. Delaware C-Corps (Delaware Inc.) are the global standard for funded startups.
A Non-Profit Organization (NPO) is a legal entity organized for a purpose other than generating profit for owners. Surplus revenue is reinvested into the organization's mission. The most common type is a 501(c)(3) charity, which is exempt from federal income tax.
Non-profits that qualify under IRS Section 501(c)(3) are exempt from federal corporate income tax and often state taxes. Donors may also receive tax deductions for contributions, making fundraising more attractive.
Non-profits require a board of directors, bylaws, and regular meetings. They must file Form 990 annually with the IRS and maintain strict records demonstrating that funds are used for the stated charitable purpose.
